1. Who we are and how to contact us
We are By Formal Invitation Limited trading as By Formal Invitation, a limited company (registration number 15585140 and VAT number 494 4603 67).
2. When these terms apply
2.1
We operate the website https://www.byformalinvitation.co.uk/, together with a co-branded wedding portal and mobile applications (together the Platforms), each of which provides access to our directory of wedding suppliers and wedding venues (Wedding Suppliers).
2.2
You are an individual or a couple who has chosen use the wedding services directory made available through the Platforms (Directory).
2.3
For previous versions of these terms (and the policies referred to in them) as well as the dates they applied, click here.
3. There are other terms that may apply to you
3.1
These terms must be read together with each of the following:
our Website Terms of Use and Acceptable Use Policy;
our Privacy Policy; and
our Cookies Policy;
which, together with these terms, form the contract between a User and By Formal Invitation for the use of the Platforms.
3.2
We may amend these terms and the services from time to time to reflect changes in relevant laws and regulatory requirements or to make minor technical adjustments and improvements, for example to address a security threat. These are changes that will not affect your use of the services.
3.3
If we need to make more significant changes to the service or these terms, we will notify you in advance and you can then contact us to end the contract before the change takes effect in accordance with clause 8.
3.4
Please review the terms regularly to stay informed of any updates or modifications.
3.5
We may update and change our Platforms from time to time to reflect changes to our offering, our users' needs and our business priorities.
4. You accept these terms
4.1
By using our Platforms, you confirm that you accept these terms and that you agree to comply with them and the other terms and policies set out in clause 3.1.
4.2
If you do not agree to these terms, you must not use the Platforms or the Services.
4.3
We recommend that you print a copy of these terms for future reference.

5. Use of the Platforms and the Services
5.1
By Formal Invitation provides a Directory of Wedding Suppliers. The information provided within the Platforms is for general informational purposes only. While we strive to keep the information accurate and up-to-date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the Platforms or the information, products, services, prices, quotations or related graphics contained on the Platforms for any purpose. Any reliance you place on such information is therefore strictly at your own risk.
5.2
We cannot take any responsibility for services provided by the Wedding Suppliers. Please ensure that full due diligence is carried out by yourself for each Wedding Supplier before booking.
5.3
By Formal Invitation does not endorse or recommend any Wedding Supplier listed in the Platforms, whether on a "Recommended Suppliers" list or otherwise. The inclusion of any Wedding Supplier on the Platforms or on a "Recommended Suppliers" list does not imply any form of endorsement.
5.4
Wedding Venues do not take any responsibility for services provided by the Wedding Suppliers on their "Recommended Suppliers" list. Please ensure that you undertake full due diligence on each Wedding Supplier before booking.
5.5
Profiles are ranked randomly on the Platforms using computer based algorithms which displays the profiles in a random order. The order in which profiles are ranked does not indicate any recommendation. We limit the number of venues and suppliers listed on the Platforms in each category to 10 per county.
5.6
Users engaging with any Wedding Suppliers listed in the Platforms will enter into direct contractual relationships with the Wedding Supplier. By Formal Invitation is not a party to such contracts and assumes no liability or responsibility for any contractual arrangements between the parties. The terms and conditions of the Wedding Supplier will be used for any bookings and we advise Users to check these.
5.7
If any Wedding Supplier cancels or cannot fulfil your booking, then we take no responsibility for this.
5.8
Users are strongly advised to verify the credentials, services, and legal standing of any Wedding Supplier before making any booking or committing to any contractual arrangements. It is the sole responsibility of the User to ensure that the venue or supplier meets their requirements and to obtain any necessary legal advice prior to entering into any agreement.
5.9
Any reviews listed on the Platforms are taken from Google reviews and By Formal Invitation has not verified or undertaken any checks in relation to these. This is not a full display of Google reviews, the reviews displayed within the platform are a selection of 4/5 star reviews. Please verify all reviews on Google reviews for a full representation.
5.10
By Formal Invitation shall not be liable for any losses, damages, or disputes arising out of or in connection with any communication or arrangements between Users and Wedding Suppliers.
5.11
By Formal Invitation reserves the right to make additions, deletions, or modifications to the content of the Platforms at any time without prior notice. By Formal Invitation endeavours to keep the Platforms up to date, but is reliant on Wedding Suppliers providing accurate information and cannot guarantee that the Platforms will always be up to date.
5.12
The Platforms may contain links to third-party websites or services that are not owned or controlled by By Formal Invitation. By Formal Invitation has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Users are advised to review the terms and conditions and privacy policies of any third-party websites or services they visit.
5.13
Any information available through the calendar link showing the availability of Wedding Suppliers (Calendar Link), is provided and updated by each Wedding Supplier. Calendar Link availability is given as a guide only and will need to be verified with the relevant Wedding Supplier directly. As such, By Formal Invitation accepts no responsibility for the accuracy of the information available through the Calendar Link.
6. Services available to Users
6.1
To be eligible to use the Platforms, you must (each, where you are using the Platforms as a couple) be a private individual, aged over 18 years, resident in the United Kingdom and acting in a private or domestic capacity, not any business or trade capacity.
6.2
By Formal Invitation offers two tiers of services for Users. Full details of the services available to all Users and the services available to Paid Users are described at clause 6.5 (Services) and clause 6.6 (Paid Services) below and can be found on the user pages of our Platforms. To be a Paid User you must make a monthly payment to us as set out in clause 7 (Paid User Fees).
6.3
Full details of the Services and/or Paid Services that you have selected, will also be explained to you during the registration and checkout process (if applicable) and you can find this information in your account on the Platforms (Account).
6.4
After you have subscribed as a Paid User, By Formal Invitation reserves the right to ask you to provide such identification and other information as is necessary to prove your eligibility to become a Paid User or as is necessary to make full use of the Paid Services. This may include carrying out identity or credit checks on you.
6.5
Users can access the following Services:
The Calendar Link which gives you access to availability of Wedding Suppliers;
Where you choose a wedding venue via our Platforms (Venue) for your wedding (Wedding), subject to compliance with this agreement and with the terms of your agreement with the Venue and to credit checks being carried out by the Venue (or on the Venue's behalf) [14] calendar days before your Wedding, potential access to wedding finance to be provided by the Venue comprising:
a monthly deposit of an amount agreed with the Venue being paid by you to the Venue from the time of booking until the date of your Wedding (Deposit); and
the amount due for your Wedding, less the total Deposit, being repaid by you to the Venue interest free in up to twelve repayments in up to twelve months following your Wedding (Credit),
the availability and terms of which will be as confirmed to you by the Venue.
Automated payment processing via direct debit and Pay By Bank.
Visibility of a Venue's "recommended suppliers list".
Venue document viewing area where your Venue can upload documents for you to view.
6.6
Paid Users can access the Services and additionally the following Paid Services:
Any other services listed on the Platforms as being available only to Paid Users from time to time.
We will carry out a credit check on you at the time you book your Wedding. By becoming a Paid User you consent to us sharing the outcome of that credit check with the Venue.
You will receive a provisional decision on your eligibility for Credit (Early Credit Decision) at the time of booking your wedding, instead of at the time that credit is required.
If the result of your credit check meets our eligibility criteria, then our sister company Wedding Pay Ltd (company number 15834946) (WP) shall make a conditional offer to the Venue (Wedding Pay Assist) that, where you miss a repayment of the Credit (if any) provided by the Venue (Missed Repayment), WP shall purchase the remaining amount of Credit (Debt) from the Venue.
To remain eligible for Credit (as per the Early Credit Decision) and Wedding Pay Assist, you must:
comply with this agreement;
comply with the terms of your agreement with the Venue;
continue paying your Paid User Fees until the date of your Wedding;
make all Deposit payments when they are due; and
confirm to WP's reasonable satisfaction within seven calendar days after your Wedding that that you are content with the Wedding services provided by the Venue.
Where WP purchases any Debt from the Venue, you shall:
owe that amount of Debt to WP;
make repayments to WP of the same amounts and at the same times as required under the Credit agreement you had with the Venue; and
within 14 days from the date of the Missed Repayment, pay to WP the amount of the Missed Repayment.
Full details of how Wedding Pay Assist will apply to any Debt shall be shared with you at the time you choose to take out Credit with a Venue.
The Venue would be the provider of any Credit. If the Venue does not provide you with Credit for any reason, By Formal Invitation and WP can't be held responsible for this decision or any issues caused by this decision.
6.7
The Services and Paid Services, including Wedding Pay Assist, can be offered only if a Venue is a member of the By Formal Invitation wedding services Directory. The following terms apply where a Venue terminates its membership of the Directory, or there is a material breach by the Venue which requires By Formal Invitation to terminate its membership of the Directory, (each a Venue Exit):
Following a Venue Exit at any time, we shall no longer be able to provide the Services or Paid Services, including Wedding Pay Assist, relating to that Venue.
On a Venue Exit after you have made a booking with that Venue, you will then be required to follow the Venue's terms and conditions directly.
Where there is a Venue Exit we shall:
provide you with immediate notice (within 3 working days of a Venue Exit) of needing to end provision of the Services and Wedding Pay Assist to allow you to make alternative arrangements, unless there is a real risk of loss or harm to BFI, WP, you or others (such as where there is a reasonable suspicion of fraud or other unlawful activity); and
no longer charge any future paid user fees
6.8
Where any Wedding Supplier ceases to be a member of By Formal Invitation's Directory, their profile will be removed and you will no longer be able to access any payments, documents and correspondence with that Wedding Supplier. Users must download and keep a copy of all correspondence between them and a Wedding Supplier for future reference.
7. Duration and pricing
7.1
The Paid User Fee pricing structure for access to the Paid Services can be found on the user pages and will be clearly displayed during the checkout process. The current Paid User Fee is £29 (inc. VAT) per month.
7.2
As a User, your access to the Services will commence on the date that you register (Registration Date) and will continue unless and until terminated by either you or By Formal Invitation as set out in clause 8 below.
7.3
As a Paid User, your agreement with us will commence on the date that we confirm your initial payment has been successful (Subscription Date) and (unless confirmed otherwise by Formal Invitation to you in writing) will automatically renew monthly (as per your payment schedule) after that date, unless and until terminated by either you or By Formal Invitation as set out in clause 8 below.
7.4
Unless confirmed otherwise by By Formal Invitation to you in writing, recurring payments for the relevant subscription fee will be taken by Stripe Payments UK Limited (authorised by the Financial Conduct Authority with firm reference number 900461) monthly following the Subscription Date.
7.5
All prices are subject to change at the discretion of By Formal Invitation, provided such changes are communicated transparently on the Platforms and Paid Users are given at least one months' notice by email before the implementation of the change. If you are not happy with the increase, you can terminate as set out in clause 8 below.
8. User Account
8.1
You must treat the log-in details and password for your Account as confidential. You must not disclose it to any third party.
8.2
We have the right to disable any log-in details or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of service.
8.3
If you know or suspect that anyone other than the registered User knows your log-in details or password, you must promptly notify us at members@byformalinvitation.co.uk
8.4
We do not guarantee that our Platforms, or any content on them, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platforms and/or the Services or Paid Services for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
9. Termination
9.1
By Formal Invitation may suspend your registration or subscription, including access to your Account and access to the Platforms, the Services and/or Paid Services, or cancel your registration or subscription where:
By Formal Invitation determines that you are not eligible to be a User;
where you are unwilling or unable to provide any information requested by By Formal Invitation in accordance with clause 5.4;
where By Formal Invitation is not able to prove your identity; or
where you are in breach of these terms or any other terms which are applicable (as set out in clause 3).
9.2
Paid Users: Your legal right to change your mind:
If you are a Paid User, you have 14 days after the Subscription Date to change your mind and cancel. This is known as the "Cooling Off Period". If you make use of any of the Paid Services during the Cooling Off Period, you acknowledge that the services purchased will be deemed to have been provided and you lose the right to cancel under section 8.2.
If you are entitled to cancel and change your mind during the Cooling Off Period, please contact us by emailing members@byformalinvitation.co.uk
Unless you have lost the right to cancel in accordance with section 8.2(a), we will refund you as soon as possible and within 14 days of you telling us that you have changed your mind. We will refund you by the method you used for payment. We do not charge a fee for the refund.
The right to change your mind and cancel does not apply to each automatic monthly renewal of your subscription.
9.3
Paid Users: You may cancel after the Cooling Off Period:
You may cancel your subscription at any time after the Cooling Off Period by emailing members@byformalinvitation.co.uk. No refund will be provided for any month in which the notice to cancel is received, as you have had the benefit of access to the Paid Services during that month.
If a payment is taken for a month which has not already started, that payment will be refunded and your access to the Platforms, including access to your Account and access to the Paid Services will be cancelled by us.
In accordance with section 6.6(d)(iii), from the date you cancel your subscription you shall no longer be eligible for Wedding Pay Assist.
9.4
Users: You may cancel at any time:
You may cancel your registration at any time by emailing members@byformalinvitation.co.uk
Your access to the Platforms, including access to your Account and access to the Services will be cancelled by us.
9.5
Termination by By Formal Invitation:
If we decide to stop providing the Services, we will let you know at least 1 month in advance and, where you are a Paid User, we will refund any sums you have paid in advance for a month during which Paid Services which will not be provided.
9.6
Effect of termination:
Any contract for the supply of services or venue hire which you enter into is entered into between you and the Wedding Supplier directly. Termination of the Services or Paid Services does not affect any contract that you have entered into with a Wedding Supplier and you are responsible for managing those contracts directly.
10. Our responsibility for loss or damage suffered by you
10.1
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
10.2
We provide our Platforms for domestic and private use only. You agree not to use our Platforms for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
10.3
Insofar as is permitted by law, By Formal Invitation accepts no liability to any person due to:
any technical fault, technical malfunction, equipment failure, systems, satellite, network, server, app or website failure of any kind;
any act or omission of a Wedding Supplier or liability arising in connection with a contract with a Wedding Supplier, including but not limited to any communication or miscommunication with or by a Wedding Supplier (whether via our Platforms or otherwise), the accuracy of any information provided by a Wedding Supplier, liability arising under or in connection with the termination, cancellation or performance of a contract with a Wedding Supplier, the conduct of any party (whether the relevant supplier or otherwise) at a wedding;
any event outside our control, such as war or threat of war, acts of terrorism, pandemic, epidemic, flood, drought, or other natural disaster, collapse of buildings, fire, explosion or accident, or interruption or failure of utility or telecommunications services;
something you could have avoided by taking reasonable action. For example, failure to keep your password or log-in details secure, the failure or malfunction of your own digital device or equipment, the failure or malfunction of your own internet or telecommunications connectivity, failure to keep your contact details up to date or any failure to respond to our communications.
11. Data protection
Personal data supplied by a User will only be processed as set out in By Formal Invitation's Privacy Policy.
12. General
12.1
We reserve the right to hold void, cancel, suspend, or amend any provision of services to you where it becomes necessary to do so or where you are in breach of these terms.
12.2
We can transfer our contract with you, so that a different organisation is responsible for providing the Services. We will tell you in writing if this happens. If you are unhappy with the transfer you can contact By Formal Invitation to end the contract.
12.3
You cannot transfer your rights under these terms or your Account with us to anyone else.
12.4
No person, other than the named User, has any rights under or to enforce these terms.
12.5
If a court invalidates some of these terms, the rest of the terms will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.
12.6
Even if we delay in enforcing our rights under these terms, we can still enforce our rights later.
12.7
If our supply of your subscription service is delayed by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay.
12.8
These terms are governed by English law and wherever you live you can bring claims against us in the English courts. If you live in Wales, Scotland or Northern Ireland, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.
